We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for over 12 months.

● copy, modify, or distribute content from the Site and Agzistence.com's copyrights and trademarks;
● use the Site to copy, modify or distribute content from the Site users' copyrights and trademarks.

3. Liability
● We, Agzistence.com will not take any responsibilities for any Users' actions or inactions, including things they post. Agzistence.com provides an electronic web-based platform for exchanging information between buyers and suppliers at anytime, from anywhere, for a variety of products and services. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the quality, safety or legality of items advertised, the truth or accuracy of listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction. We do not transfer legal ownership of items from the seller to buyer. Further, we cannot guarantee continuous or secure access to our services, and operation of our websites may be interfered with by numerous parties outside of our control. Accordingly, to the extent legally permitted, we exclude all implied warranties, terms and conditions. We are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of the Site. However, if we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total fees you paid to us in the 6 months prior to the action giving rise to the liability, and (b) USD$350.

4. Registered Users
● The User who has filled out an on-line Registration Form on the Site and been approved by Agzistence.com is a Registered User. Agzistence.com will establish an account for each Registered User and a User ID will be assigned to the Registered User with their own password for log-in access to its own Account.
● By becoming a Registered User, you consent to the inclusion of your personal data in our Global Buyer Database and authorize Agzistence.com to share such information with other Users.
● Agzistence.com may suspend or terminate a Registered User's Account or Email Account at any time by giving no less than 24-hour notice to the Registered User. However, the notice is not required for such kind of termination if (a) there is any breach of this Agreement by the Registered User; or (b) It is reasonable for Agzistence.com to suspect that such information provided by a Registered User is untrue, inaccurate, not current or complete, or (c) Agzistence.com believes that the Registered User's actions may cause financial loss or legal liability to Us or our affiliates, or to such a Registered User itself, or to Agzistence.com's other Users.
● You must be a Registered User in order to post information on the Site using the self-help submit and edit tools provided through the Site.
● Each User hereby represents, warrants and agrees to (a) provide Agzistence.com with true, accurate, current and complete information to be displayed on the Site and (b) maintain and promptly amend all information to keep it true, accurate, current and complete.
● Each User hereby represents, warrants and agrees that he or she has obtained all necessary third party's copyright, trademark, trade secret or patent license and permission, or such other licenses or permissions as may be required in connection with any other personal or proprietary rights of any third parties (including but not limited to rights of personality and rights of privacy), for any material or information it posts on the Site or provides to Agzistence.com or authorizes Us to display.

● Each User hereby represents, warrants and agrees that information submitted to Agzistence.com for display on the Site shall not contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation.
● Each User hereby represents, warrants and agrees that information submitted to Agzistence.com for display on the Site shall not solicit business from any Users in connection with a commercial activity that competes with Agzistence.com.
● Each User hereby represents, warrants and agrees that information submitted to Agzistence.com for display on the Site shall not contain any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with or intercepting any software or hardware systems, data or personal information.
● Each User hereby represents, warrants and agrees that information submitted to Agzistence.com for display on the Site shall not li nk directly or indirectly to or include descriptions of goods or services that are prohibited under this Agreement.
● The Users are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Site, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

2．IPR Protection
Listing unauthorized products is strictly prohibited on the Site.
Products with patent are permitted to be displayed on the site if a certificate of authorization has been issued by the patent owner.
Postings of offers to sell or purchase unauthorized products shall be subject to removal by Agzistence.Com. Repeated postings of unauthorized products shall result in the immediate suspension of the offender's Membership.
If any other content online contains references to active ingredient still under patent protection in certain countries, such content is deemed inapplicable to those countries.
3．Actions resulted from repeat violations of IPR policy

4．Infringement Claims
The following actions are used as a deterrent against infringement of IPR:
- Voluntary review and removal of listings that appear to offer unauthorized products
- Prompt removal of listing(s) when an intellectual property infringement claim is filed by the patent holder against any Member who displayed such listing(s)
- Written notification with appropriate reason(s) given to Members who have their product(s) removed on the Site for suspicion of infringing the IPR of others
- Written notification to Members whose listings is claimed to infringe on other's IPR. Parties involved will have equal opportunities to respond to such charges.
- Termination, when appropriate, of the accounts of Members who are repeat offenders
We appreciate the assistance given by all members to report any IPR infringement.
We request those who assert claims of infringement to stand behind their claims. By submitting a report of alleged infringement to Agzistence.Com, you agree to indemnify Agzistence.com against claims for damages arising from the removal of the listing.
Agzistence.com is also not an arbitrator or judge of disputes about intellectual property rights. By taking down a listing, as a prudential matter, Agzistence.com is not endorsing a claim of infringement. In those instances, in which Agzistence.com declines to take down a listing, it does not mean that Agzistence.com is determining that the listing is not infringing or Agzistence.com is endorsing the sale of goods in such cases.
5．How to report an alleged IPR infringement to Agzistence.Com
1. If you have a good faith belief that a listing on the Site infringes your copyright, trademark, patent or other intellectual property rights, you may send an IPR infringement Report to us. In this report, you need to make a comprehensive expression of the infringement behaviour especially the reason(s) resulting in infringement and attach legally effective certificate like patent, authorization and so on. Please send it to info@Agzistence.Com.
2. Upon receipt of the aforesaid report, we will promptly evaluate your complaint, and in cases where it is appropriate, we will expeditiously take down the listing referred to in your claim.
3. We will notify the member in writing of the removal of the claimed infringing product listing and provide the member with your contact information so that the member may contact you directly and with an opportunity to respond.
4. If the member objects to the removal of the alleged infringing product listing, the member may submit to us an appropriate counter-notice to dispute the claim. Upon receipt of such counter-notice, we may resume the member’s listing unless we receive notice from you that an action has been filed against the member in a court of competent jurisdiction for infringement of your intellectual property rights
We may amend the terms of this Agreement by posting the amended terms on this Site without notice.
The "User Agreement " describes the terms and conditions applicable to your use of the Agzistence.com website which is identified by the uniform resource locator www.Agzistence.com(the " Site " ). This Agreement is entered into between you as the user of the Site (the “User “) and us (Agzistence.Com).
We want you to be satisfied, so all eligible courses purchased on Udemy can be refunded within 30 days, provided the request meets the guidelines in our refund policy.
